1. Acceptance
By accessing or using SYNATHRA ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms constitute a legally binding agreement between you and ATH Solutions (Pty) Ltd ("ATH Solutions", "we", "our").
2. Description of Service
SYNATHRA is a cloud-based business management platform offering project management, CRM, finance, HR, and AI-assisted tooling. Services are provided on a subscription basis under the plans described on our Pricing page.
3. Account Registration
You must provide accurate, complete information during registration. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at info@ath.solutions of any unauthorised use.
4. Acceptable Use
You agree not to: (a) use the Platform for any unlawful purpose; (b) attempt to gain unauthorised access to any system or data; (c) transmit malicious code; (d) scrape or harvest data without written consent; (e) resell or sublicense the Platform without authorisation.
5. Subscription and Payment
Subscriptions are billed monthly or annually in advance. Prices are in South African Rand (ZAR) unless otherwise stated. We reserve the right to change pricing with 30 days' notice. Overdue accounts may be restricted after a 7-day grace period.
6. Intellectual Property
All content, trademarks, software, and materials on the Platform are owned by or licensed to ATH Solutions. You retain ownership of your data. You grant ATH Solutions a limited licence to process your data solely to provide the service.
7. Data and Privacy
Our handling of personal information is governed by our Privacy Policy, which forms part of these Terms.
8. Limitation of Liability
To the maximum extent permitted by applicable law, ATH Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability shall not exceed the amounts paid by you in the 3 months preceding the claim.
9. Disclaimer of Warranties
The Platform is provided "as is" and "as available". We make no warranty that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
10. Payroll and Financial Calculations Disclaimer
Payroll, financial, and tax calculations generated by the Platform are for informational purposes only. ATH Solutions accepts no liability for payroll accuracy or tax compliance. You must verify all calculations with a registered accountant or payroll professional.
11. Termination
Either party may terminate the agreement at any time. On termination, your data is retained for 30 days before permanent deletion. You may export your data at any time before termination.
12. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Disputes shall be subject to the exclusive jurisdiction of the courts of Johannesburg, Gauteng.
13. Amendments
We may update these Terms at any time. Continued use of the Platform after notification constitutes acceptance. Material changes will be communicated via email or in-app notification.
